• Invoices are due within thirty (30) calendar days from invoice date
• Late payments may incur a service charge of 1.5% per month
• All fees are quoted in United States Dollars (USD)
• Client is responsible for all applicable taxes

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the business relationship. This obligation survives termination of any service agreement for three (3) years.

2. Mediation: If negotiation fails, parties agree to mediate in Weber County, Utah
3. Arbitration: If mediation fails, dispute resolved by binding arbitration under AAA Commercial Rules

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Material revisions will include 30 days notice. By continuing to use the Site after revisions become effective, you agree to be bound by the revised terms.

16. Force Majeure

Neither party shall be liable for failure or delay due to circumstances beyond reasonable control, including acts of God, war, terrorism, civil unrest, fire, flood, pandemic, or governmental action.
